Teleon provides managed IT, managed security, helpdesk, cloud management, and compliance services to business clients. The scope, pricing, service levels, and terms of any specific engagement are defined in the applicable Statement of Work (SOW) and Master Service Agreement executed between Teleon and the client.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to affected clients.
You agree to use our Site and services only for lawful purposes and in accordance with these Terms. You agree not to:
Certain services or client portal features may require creation of an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify Teleon immediately of any unauthorized use or suspected breach of your account.
Teleon reserves the right to disable any account at any time, with or without notice, if we believe these Terms have been violated.
Payment terms for managed services engagements are defined in the applicable MSA or SOW. For website-initiated inquiries that lead to a service agreement:
All content on this Site — including text, graphics, logos, icons, images, and software — is the property of Teleon or its content suppliers and is protected by applicable intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to access and use the Site for your personal, non-commercial business evaluation purposes. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.
Any tools, scripts, documentation, or intellectual property developed by Teleon during a services engagement shall remain the property of Teleon unless otherwise agreed in writing in the applicable SOW.
In the course of evaluating or engaging Teleon's services, both parties may share confidential information. Each party agrees to hold the other's confidential information in strict confidence, use it only for the purpose for which it was disclosed, and not disclose it to any third party without prior written consent, except as required by law.
Confidentiality obligations do not apply to information that: (a) is or becomes publicly known through no breach of this agreement; (b) was rightfully known before disclosure; or (c) is independently developed without reference to the confidential information.
THE SITE AND ANY PRELIMINARY INFORMATION PROVIDED THEREON ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Teleon does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. Warranty terms applicable to formal service engagements are defined in the applicable MSA.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TELEON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES.
Teleon's total liability for any claim arising out of or related to these Terms shall not exceed the greater of $100 or the amount paid by you to Teleon in the twelve months preceding the claim. Liability caps for formal service engagements are governed by the applicable MSA.
You agree to indemnify, defend, and hold harmless Teleon and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Site or services; (b) your violation of these Terms; or (c) your violation of any third-party rights.
These Terms remain in effect until terminated. Teleon may terminate or suspend your access to the Site at any time, without notice, for conduct that violates these Terms or is harmful to other users, Teleon, or third parties.
Termination of formal services engagements is governed by the applicable MSA, which typically includes notice periods, wind-down procedures, and data return or destruction obligations.
Our website uses Google Analytics 4 to collect aggregated, anonymized data about how visitors interact with the Site. By using the Site, you acknowledge that such data may be collected and processed as described in our Privacy Policy. We do not use this data to identify individual visitors or to enable targeted advertising on our Site.
Our contact form uses Cloudflare Turnstile for bot protection. Use of this feature is subject to Cloudflare's Terms of Service and Privacy Policy.
We are not responsible for the data practices of third-party tools embedded in or linked from our Site. Links to third-party sites are provided for convenience and do not constitute endorsement.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Texas.
